BASIC QUALIFICATIONS:
IN ORDER TO BE CONSIDERED FOR THIS POSITION, THE FOLLOWING BASIC QUALIFICATIONS MUST BE EVIDENT ON YOUR RESUME: 
EDUCATION REQUIRED:  
  • Bachelor’s Degree in Business Administration, Finance, or Accounting, or an advanced degree with comparable emphasis in business, accounting, or taxation.
YEARS OF EXPERIENCE: 
  • 10+ years of tax experience in a law firm, large corporate in-house Tax Department or public accounting setting with M&A tax experience; or, 8+ years of tax experience in a law firm, large corporate in-house Tax Department or public accounting setting with M&A tax experience with a Masters in Tax or LL.M. in Taxation or other advanced taxation degree
SPECIALIZED KNOWLEDGE REQUIRED: 
  • Experience with one or more of the following areas: US federal tax rules including Subchapter C, Subchapter K, consolidated returns, taxable and nontaxable reorganizations, and solid understanding of inbound, outbound U.S. tax rules as well as foreign tax credits and Subpart F U.S. international tax law rules.
  • Project management skills in the area of transactions.
  •  Knowledge and “hands-on” experience:
    • Performing tax due diligence on M&A projects.
    • Reviewing and/or drafting of tax language in transaction documents or experience managing outside advisors performing such drafting.
    • Structuring taxable and/or non-taxable stock and/or asset acquisitions, divestitures and/or joint ventures with third parties in tax and treasury efficient methods.
    • Tax research skills.
    • Quantitative and analytical modeling skills.
DESIRED/PREFERRED QUALIFICATIONS:
  • Certification, such as CPA, Enrolled Agent, or attorney licensed by the Bar in at least one state.
  • Advanced degree in taxation.
  • 3+ years of M&A tax experience
  • Able to lead an M&A tax project, identify tax issues, and drive the project to a conclusion with assistance from more senior internal M&A tax specialists and/or outside tax advisors.
  • General understanding of common non-U.S. M&A tax issues including use of debt, taxable and non-taxable mergers, liquidations, business combinations, use of net operating losses and use of tax attributes of acquired target entities, exit taxes, and VAT/indirect taxes or other transaction taxes.  
  • General understanding of ASC 740 (accounting for income taxes) and ASC 805 (accounting for business combinations).
  • Ability to apply good judgment, financial acumen and problem solving skills to identify and resolve critical tax risks; demonstrates high ethical standards.
  • Excellent English oral and written communicator; ability to effectively communicate complex technical tax issues in both tax and easy to understand non-tax language with other Tax Department members, advisors and non-tax leaders in the company. 
  • Progressive forward-thinking mind-set; creative and innovative thinker that is always looking for improvement opportunities.
  • Able to work independently as well as part of a progressive, high-performing team exercising influence management skills to contribute to value added deliverables.
  • Working experience in the medical device industry.
  • Comfortable working in a matrix reporting environment.
